Membership FAQ

The following questions and answers are designed to provide a basic understanding of the membership opportunities available at The Hamptons Golf Club. As these questions and answers are only summary in nature, you should read the Membership Plan, Rules and Regulations and Membership Application and Agreement prior to purchasing a membership. All capitalized terms not otherwise defined herein are defined in the Membership Plan.

1: What is The Hamptons Golf Club?
The Hamptons Golf Club (the “Club”) is an exceptional golf club located in Calgary, Alberta. The Hamptons Golf Club features outstanding golf, social and dining facilities.

2: Who owns the Club Facilities?
Scratch Golf Marketing Inc., an Alberta corporation (the “Company”) owns and operates the Club Facilities (referred to below). Where these questions and answers refer to the “Company” taking action or having certain rights, the Company and/or its designees shall take such action and have such rights.

3: What can you tell me about the principal owners of the Company?
The principal owners of the Company have over fifty (50) years of a combined golf ownership and operational experience and are local to the greater Calgary area.

4: What facilities are available at the Club?
Members, their families and guests will be able to enjoy the following amenities at the Club (“Club Facilities”): • 18 hole championship golf course designed by Bill Newis; • Golf practice facilities, including an aqua-range, short-game and practice areas • 37,000 square foot full service clubhouse, with pro shop, men’s and women’s putting greens; and locker rooms, boardroom, banquet room, dining room and outdoor gathering areas.

5: In addition to the Club Facilities, does my membership afford me access to other golfing facilities?
As further addressed in the Membership Plan, the Company is able to offer Club Members access to an additional 108 holes of golf at the following facilities (“Additional Golf Amenities”): • 18 holes at Springbank Links Golf Club • 18 holes at Boulder Creek Golf Course • 27 holes at Silverwing Links • 9 holes at Harvest Hills Golf Course • 18 holes at Northern Bear Golf Club • 18 holes at Wilderness Club

6: Does the Company plan on adding any other facilities in the future?
The Company is currently in the planning stages on its newest club, The Copithorne Club. Initial plans call for 27 holes of golf (“The Copithorne Club Facilities”), with the first 18 holes to be co-designed by golfing icons Johnny Miller and Stephen Ames. It is expected that the first 18 holes of the golf course will be open for play in 2016. Once open for play, Members of the Club will also have access to The Copithorne Club Facilities. Completion of The Copithorne Club Facilities is subject to obtaining the necessary permits, approvals and financing and is therefore subject to delays beyond the Company’s control. The Company makes no guarantees as to the timing of the delivery of any planned facilities.

7: What types of memberships are currently being offered in the Club?
Golf Membership is the primary category of membership being offered. The Company previously offered Founder Memberships to a select group of individuals.

8: What are the privileges associated with Golf Membership?
A: Golf Members receive unlimited golf, lockers, invitation to member events, advanced booking, preferred guest fees, no assessments, access to multiple golf courses and member account privileges, along with other benefits.

9: How many memberships will be offered in the Club?
As further provided for in the Membership Plan, the maximum number of Founder Memberships is 30 and the maximum number of Golf Memberships is 180.

10: What are the special features of membership in the Club?
In addition to the Club Facilities and an extensive array of programs and activities for Members and their families, membership in the Club offers a number of attractive benefits, including: • Refundability. Members are entitled to a refund of their membership deposit as provided in the Membership Plan. • Additional Facilities. One Membership, multiple courses. Members will have access to various other golfing facilities that the Company either owns, operates, manages or has secured playing rights for Members of the Club as further provided in the Membership Plan. • Family Privileges. A Member’s “Extended Family Members” (as hereinafter defined) are entitled to use the Club Facilities in accordance with the Member’s use privileges, upon payment of preferred fees. • No Assessments. Except as otherwise provided for in the Membership Plan, Members are not subject to operating or capital assessments by the Company. • Lifetime Legacy Transfer. During the lifetime of the Member, the membership may be transferred on a one-time basis to the Member’s spouse, adult child, adult grandchild, or an adult great-grandchild without an additional membership deposit payment, subject to approval for membership, as further described in the Membership Plan. • Legacy Transfer. Upon the death of the Member, the membership may be transferred on a one-time basis to the deceased Member’s spouse, adult child, adult grandchild, or adult great-grandchild without an additional membership deposit payment, subject to approval for membership, as further described in the Membership Plan. • Flexible Dues Options. Members may select from multiple dues options to best fit the Member’s individual needs as further described in the Membership Plan.

11: What do I have to pay for a membership in the Club?
Each person who acquires a membership will be required to pay a membership deposit in an amount determined by the Company from time to time. The amount of the required membership deposit shall be set forth in the Member’s Membership Application and Agreement.

12: Is the membership deposit refundable?
Yes. Membership deposits paid by Golf Members are refundable as provided for in the Membership Plan. The refund arrangement for Founder Members shall be set forth in their respective Founder Membership Application and Agreement.

13: Am I obligated to pay dues with respect to my membership?
Yes. The Company shall determine, in its discretion, the amount of the dues that are payable by members from time to time. Dues shall be payable on an annual basis, on or before the first day of the year, unless otherwise determined by the Company from time to time. The current dues, fees and charges for use of the Club Facilities are indicated on the Schedule of Dues, Fees and Charges. The amount of dues, fees and other charges is subject to change from time to time by the Company.

14: What are the available dues options for Members?
The Company has created the following three (3) different dues options for Members to select from in order to best meet the individual needs of the Member: (a) Family (3 User Classifications): Principal Golfer; Spousal Golfer; and Junior Golfer. (Junior Golfer is defined as children of the Principal and/or Spousal Golfer under the age of 31). (b) Designee (3 Designees): Each designee will be a Principal Golfer and each such designee will be responsible for Principal Golfer Dues. Upon approval of the Company, payment of a redesignation fee and such other terms and conditions as determined by the Company in its discretion from time to time, the Corporate Member may change one designee no more than once each year. Each designee must complete a Membership Application and Agreement and will be subject to approval of the Company, in its sole discretion. (c) Pass Holder: Members’ selecting this dues option will be provided forty (40) annual greens’ fee passes affording playing privileges at the Club, and such other facilities as designated by the Company in its discretion from time to time, for the member, the member’s family members, guests and/or business associates. Members are prohibited from selling passes and such passes are not redeemable for any cash value. Members selecting this dues option will generally pay annual dues that are similar to a Principal Golfer.

15: Will my family members be welcome at the Club?
Yes. The ability to spend quality time with members of the family is of paramount importance these days. The Company is committed to providing a pleasant environment where this can be accomplished. A Member’s Extended Family Members (i.e., herein defined as the parents, grandparents, children (who do not fall within the definition of a Junior Golfer) and grandchildren of the Member, the Member’s spouse or the Member’s Significant Other (referred to in the Membership Plan) and the spouses or Significant Others of such family members), are entitled to use the Club Facilities in accordance with the member’s privileges upon the payment of preferred fees established by the Company.

16: May I invite guests to the Club?
Yes. Having your friends enjoy the Club’s outstanding facilities with you is a wonderful attribute of membership. Therefore, Members are entitled to have guests use the Club Facilities in accordance with the Member’s category and the rules and regulations adopted by the Company to preserve the exceptionality of its facilities.

17: Will there be any other types of membership available in the Club?
Yes. As further set forth in the Membership Plan, the Company reserves the right to issue a limited number of Honorary Memberships and Company Memberships. In addition, the Company reserves the right to add other categories of membership in its discretion from time to time.

18: Besides Club Members, their families and guests, who else can use the Club Facilities?
The Company will permit unaccompanied outside guests on a daily basis to play the golf course on such terms and conditions as the Company determines appropriate. While the Company permits unaccompanied outside guest play on a daily basis, such play shall be managed so as to provide Members, their families and guests with the highest access levels. The Company reserves the right, but not the obligation, to reduce or eliminate unaccompanied outside guest play at anytime in its discretion. If the Company exercises such right, the number of available memberships in the Club may be increased by the Company in its discretion.The Company may also enter into reciprocal use privileges.

19: Can I resign or transfer my membership to someone else?
Transfers of memberships may only occur through the Company. Members may resign his or her membership and arrange for the Company to reissue the membership as further set forth in the Membership Plan. Resignation of a membership is irrevocable, unless otherwise determined by the Company.

20: How do I become a member?
Each person who desires to become a member must mail or deliver to the Company a fully completed and signed Membership Application and Agreement. The required membership deposit must also be paid in conjunction with submission of the Membership Application and Agreement.
